Course Description
Obtaining a term sheet from a venture capital firm is no easy task these days, and the terms are likely to strongly favor investors, in distinct contrast to the times before the dot-com bubble burst. In this introductory course, Silicon Valley lawyer John Montgomery discusses the fundamental principles and key issues underlying venture financing, with particular focus on valuation. As he steps through the terms likely to be up for negotiation in a Series A financing round, including dividends, liquidation preferences, and antidilution protections, Mr. Montgomery offers insight into the implications of each term and provides suggestions for maximizing effectiveness and meeting the interests of all parties involved.
