Course Description

From their different perspectives, investment bankers and corporate lawyers discuss global and U.S. trends in the current mergers and acquisitions market, including hostile mergers and acquisitions, cross-border activity, the private equity market, takeover defenses, and shareholder activism. In addition, relevant M & A cases, including the 2003 Omnicare decision in Delaware, are reviewed, and the effect of these cases on future M & A activity is considered.
